Terms
Terms of service
Last updated 3 June 2026
1. Who these terms are between
These terms are between you (or the studio you act for) and Umberfold G.K., Osaka, Japan ("Umberfold"). You accept them by using a project key we have issued to you.
2. The service
Umberfold receives files you send to its ingest endpoint, verifies them, keeps them for the period in our privacy notice, and produces edit copies. The service is in early access: it is offered by invitation, may change, and comes with no commitment about availability.
3. Keys and accounts
A project key identifies your project. Keep it secret, do not share it outside your organization, and tell us at once if it leaks. You are responsible for what is done with your keys.
4. Your files
Your files remain yours. You give Umberfold permission to store and process them as needed to provide the service. You confirm that you have the right to send them, including any permission needed from people who appear in them.
5. Using the service
You agree not to:
- send content that is unlawful or that infringes anyone's rights;
- try to get around the limits described in the reference, or to evade a block we have applied;
- attack the service, or disrupt it for other customers;
- resell access or let anyone outside your organization use your keys.
6. Charges
Early access is arranged individually. If a charge applies, we agree it with you in writing before it starts.
7. Suspension and ending
You may stop using the service at any time. We may suspend a key that breaks these terms or puts the service at risk, and we will tell you why. When an account ends, your files are deleted on the schedule in the privacy notice.
8. No warranty
The service is provided as it is. To the extent the law permits, Umberfold gives no warranty that it will be uninterrupted or error-free, and you should keep your own copy of anything you cannot afford to lose until you have confirmed that the sealed file is intact.
9. Limit on liability
To the extent the law permits, Umberfold is not liable for indirect or consequential loss, and its total liability for any claim is limited to the amount you paid for the service in the twelve months before the claim, or, if nothing was payable, to zero. Nothing here limits liability that cannot be limited by law.
10. Changes
We may update these terms. We will give notice by e-mail before a change that affects you takes effect.
11. Governing law and courts
Japanese law governs these terms. The Osaka District Court has exclusive jurisdiction as the court of first instance over any dispute that arises from them.
